Our services include: (a) corporate formations, expansions, restructurings and re-organizations, including set up of domestic and international subsidiaries and affiliates; (b) buy-sell agreements and M&A transactions; (c) financings and loan agreements; (d) contract review, drafting and negotiation; (e) personnel matters, including drafting of employee offer letters, employee handbooks, onboarding and exit paperwork, HR advisory services, executive compensation issues, and independent contractor arrangements; and (f) e-commerce transactions, including terms of use, terms of sale, privacy policies, disclaimers and EULAs.

Estate Planning

We advise individuals and families in diverse estate planning matters. Our understanding of your personal needs coupled with our in-depth understanding of key areas affecting your families and our wide collaboration with other professionals, including accountants, bankers, investment advisors, financial planners, tax planners and life insurance professionals, offers us an unique insight and deep experience necessary to structure and execute the most appropriate plans for our client's asset management, personal and business succession, exit strategies, family philanthropy, and transfer of wealth to heirs and other beneficiaries. We routinely work with employees who have legal insurance plans, such as ARAG, MetLife Legal Plans (formerly, Hyatt Legal Plans), CLC, LawPoint (aka ComPsych), LegalEASE, LegalShield, and Workplace Options.​ 

Startups

We enable founders set up 'Silicon Valley styled' startups and provide them with end-to-end representation throughout various life-cycles, including pre-incorporation strategizing, incorporation, angel and seed financing, corporate governance, venture finance, mergers and acquisitions, pre-IPO support, dissolution and exits. We also represent founders, investors, employees, contractors and vendors in their individual arrangements with startups. We believe in developing long-term partnerships with early stage startups and their founders that continues even after they engage large law firms to service their growing needs. We often work with startups based on alternate fee structures, including cash+equity fee, and deferred fee arrangements, in addition to fixed fee models.

Technology Transactions

We have in-depth experience drafting, reviewing and negotiating virtually all types of technology contracts. Our technology transactions work often involves working directly with in-house legal, ops and business teams, including CTOs and other C-level officers. We take pride in bringing cutting-edge 'Silicon Valley' technology expertise to our Technology Transactions practice that is greatly appreciated not only by our high-tech startup clients but also by large, global corporations that often engage us as sole or lead technology counsel for all of their IT/technology contracts worldwide. We have significant experience with both in-bound and out-bound technology transactions, including those involving Canada, Latin America, U.K., E.U., the Middle East, India, China, Japan, Singapore, Indonesia, Australia and New Zealand. We have over two decades of experience in global transactions.
